Terms of Service for EasyInterviews.AI

Effective Date: February 10, 2026

1. DEFINITIONS

  • "Service" means the EasyInterviews autonomous hiring platform, including the "Translate," "Conduct," and "Qualify" modules, provided as a Software-as-a-Service (SaaS).
  • "Output" means the analytics, rankings, scores, and competency models generated by the Service.
  • "Anonymized Data" means Customer Data that has been de-identified and aggregated such that it can no longer be used to identify a specific individual.

2. GRANT OF LICENSE & SAAS STATUS

2.1 License Grant

Subject to the terms of this Agreement, EasyInterviews grants Client a limited, non-exclusive, non-transferable right to access and use the Service solely for its internal talent acquisition purposes.

2.2 SaaS Defense (No Agency)

The parties are independent contractors. EasyInterviews acts solely as a provider of technology infrastructure. Nothing in this Agreement shall be construed to create an employment agency, recruitment firm, staffing agency, or fiduciary relationship between the parties.

  • Client retains sole and exclusive authority over all hiring, employment, and personnel decisions.
  • EasyInterviews does not "procure" employment for candidates and has no control over the quality, legality, or safety of the jobs posted.

3. AI FEATURES & ALGORITHMIC RESPONSIBILITY

3.1 The AI Firewall

The Service utilizes artificial intelligence, including generative AI avatars ("Conduct") and algorithmic scoring ("Qualify"). Client acknowledges that AI models are probabilistic and may produce non-deterministic results.

  • (a) No Substitution: The Service is a decision-support tool, not a decision-maker. Client agrees to maintain "human-in-the-loop" oversight for all employment decisions.
  • (b) Assumption of Risk: Client assumes sole responsibility for validating the accuracy, fairness, and non-discriminatory nature of the Output before relying on it for any employment action.
  • (c) Bias Indemnity: Client shall indemnify and hold EasyInterviews harmless against any claims alleging disparate impact, discrimination, or bias arising from Client’s use of the Output or reliance on the Service for candidate selection.

3.2 Data Training Rights

Client grants EasyInterviews a perpetual, irrevocable, worldwide, royalty-free license to access, use, and process Customer Data to: (i) provide the Service; and (ii) create Anonymized Data.

EasyInterviews shall retain all right, title, and interest in Anonymized Data and may use such data to train, improve, and enhance its machine learning models, algorithms, and avatars.

4. REGULATORY COMPLIANCE

4.1 Client Compliance Obligations

Client is solely responsible for ensuring its use of the Service complies with all applicable laws, including but not limited to Title VII of the Civil Rights Act, the Fair Credit Reporting Act (FCRA), and the Americans with Disabilities Act (ADA).

4.2 Biometric Laws (BIPA/AIVIA)

For candidates in jurisdictions regulating biometric data (e.g., Illinois), Client represents that it will not direct EasyInterviews to collect biometric identifiers unless Client has confirmed that such collection complies with applicable law.

EasyInterviews shall provide mechanisms (e.g., consent screens) to facilitate compliance, but ultimate legal responsibility rests with the Client.

4.3 NYC Local Law 144

If Client uses the Service to screen candidates in New York City, Client is responsible for: (i) notifying candidates 10 business days in advance; and (ii) commissioning any required independent bias audits, unless EasyInterviews explicitly agrees in an Order Form to provide such audit data.

5. LIMITATION OF LIABILITY

5.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR EXCLUDED CLAIMS, EITHER PARTY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT HEREUNDER IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE CLAIM.

5.2 Exclusion of Consequential Damages

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS.

5.3 AI Specific Disclaimer

EASYINTERVIEWS SPECIFICALLY DISCLAIMS ANY LIABILITY FOR CLAIMS ARISING FROM THE USE OF AI FEATURES, INCLUDING BUT NOT LIMITED TO CLAIMS OF ALGORITHMIC BIAS, "HALLUCINATIONS," OR INACCURATE CANDIDATE RANKINGS.

6. GOVERNING LAW & VENUE

6.1 Jurisdiction

This Agreement shall be governed by the internal substantive laws of the State of Delaware, without regard to its conflict of laws principles.

6.2 Venue

Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Miami-Dade County, Florida.
